Corporate Governance Paralegal

Full-time in office, location is Greenwich, CT, excellent benefits. 1st Para to be hired into group to report to the chief legal officer. Responsibilities: Support public company corporate governance, including board and committee meetings, agenda planning, drafting of resolutions and unanimous written consents, D&O onboarding, and maintenance of public company files. Manage SEC filings, including Section 16 filings and Forms 8-K, 10-Q, and 10-K. Support annual meetings of stockholders, including drafting and filing proxy statement, coordinating meeting logistics, and handling related communications. Oversee legal entity management, including implementation and maintenance of database and oversight of registered agent. Drive legal operations and technology implementation, including matter management, e-billing, and contract management systems. Support M&A, integrations, and financing transactions. Assist chief legal officer with department management, oversight of outside counsel, budgeting, and special projects. Requirements: At a minimum, you’ll need: Bachelor's degree or equivalent related work or military experience At least 5-7+ years of public company corporate legal experience, either at a law firm or in-house legal department Excellent problem-solving and organizational skills; capacity to quickly master new concepts, ideas, and practices Strong communication and writing skills Proficiency in Microsoft Office It’d be great if you also have: Paralegal degree or certification Notary Public license Experience with Workiva Experience with LegalTracker platform Experience with legal entity databases Experience with contract management systems
